01 Agreement to these terms

These Terms & Conditions (“Terms”) are a binding agreement between you and Synergetiq OI Inc (“Cubin,” “we,” “us,” or “our”) governing your access to and use of the Cubin website, web application, and related services (the “Service”). By creating an account, starting a free trial, or otherwise accessing the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

02 The service

Cubin provides software that helps moving companies build moving estimates, manage clients and item catalogs, recommend trucks based on volume and weight, and generate quotes and documents such as PDFs. We may add, change, or remove features over time. We may also set reasonable technical limits on the Service (such as storage or usage limits), which we will communicate where appropriate.

03 Accounts & eligibility

To use most features you must create an account. You agree to provide accurate information, keep it up to date, and keep your login credentials secure. You are responsible for all activity that occurs under your account, including activity by your team members and any users you invite. Notify us promptly of any unauthorized use. You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Service.

Accounts may include different user roles (such as administrators). Account administrators are responsible for managing their users' access and permissions.

04 Free trial

We may offer a free trial of the Service, such as a 7-day free trial. Trial access may be changed or withdrawn at any time, and any additional terms presented with the trial apply to it. Unless you subscribe to a paid plan, your access ends when the trial period expires.

05 Plans, billing & renewals

Paid features of the Service are offered on a subscription basis. By subscribing, you agree to the pricing and billing terms presented at checkout, including the plan, fees, and billing cycle.

• Payment. Fees are charged through our third-party payment processor. You authorize us and our processor to charge your payment method for all applicable fees.
• Renewals. Unless stated otherwise, subscriptions renew automatically at the end of each billing cycle until cancelled. Cancellation takes effect at the end of the current cycle.
• Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes.
• Changes to pricing. We may change fees on a going-forward basis with reasonable prior notice; changes take effect at your next renewal.
• Refunds. Except where required by law, fees are non-refundable. See our refund and cancellation policy.
• Non-payment. If a payment fails or is overdue, we may suspend or limit your access until amounts are paid.

06 Your data & your customers' data

You retain ownership of the content and data you submit to the Service, including details you enter about your own customers and their moves (“Your Data”). You grant us a limited license to host, process, and use Your Data solely to provide and improve the Service and as described in our Privacy Policy.

Because Cubin lets you store information about your own customers, you are responsible for Your Data, including:

• Having the right and a lawful basis to collect, upload, and use it;
• Providing your customers with any privacy notices and obtaining any consents required by law;
• Its accuracy and the manner in which you use the Service to contact your customers (for example, emailing estimates); and
• Responding to your customers' requests regarding their information.

You are responsible for maintaining your own copies of important data. While we take reasonable measures to protect data, you should export or back up records you need to retain.

07 Acceptable use

You agree not to, and not to allow anyone to:

• Use the Service in violation of any law or regulation, or to send unsolicited or unlawful communications;
• Upload data you have no right to use, or that infringes others' rights or privacy;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with, disrupt, overload, or probe the Service or its security;
• Reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law;
• Use the Service to build a competing product, or scrape or harvest data from it; or
• Upload malicious code or use the Service in any way that could harm us, other users, or third parties.

08 Intellectual property

The Service, including its software, design, branding, the Cubin name and logo, and all related intellectual property, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. We reserve all rights not expressly granted. You may not use our trademarks or branding without our prior written permission. If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

09 Third-party services

The Service relies on third-party providers (such as hosting, authentication, payment processing, and email delivery) and may link to or integrate with third-party services. We are not responsible for third-party services, and your use of them may be subject to their own terms. Third-party providers that process data on our behalf are described in our Privacy Policy.

10 Estimates, calculations & no guarantee

Cubin generates estimates, volume and weight totals, and truck recommendations based on the data you enter and our default assumptions. These outputs are estimates and aids only. They are not guarantees of actual moving volume, weight, cost, truck capacity, or suitability. You are responsible for reviewing and verifying all estimates and recommendations before relying on them or providing them to your customers. We are not liable for decisions made based on the Service's outputs.

11 Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, use the Service in a way that risks harm or legal exposure, or as needed to comply with law. Where reasonable, we will give notice. On termination, your right to use the Service ends. We may delete Your Data after a reasonable period following termination, subject to our Privacy Policy and applicable law; please export anything you need before closing your account. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

12 Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that it will meet your requirements, or that any estimate or recommendation it produces will be accurate. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

13 Limitation of liability

To the maximum extent permitted by law, Cubin and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for all claims relating to the service will not exceed the greater of (a) the amount you paid us for the service in the 12 months before the event giving rise to the claim, or (b) CAD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

14 Indemnification

You agree to defend, indemnify, and hold harmless Cubin and its owners, employees, and suppliers from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to Your Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party (including your customers).

15 Changes to the terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect means you accept the revised Terms. If you do not agree, stop using the Service.

16 Governing law & disputes

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in Saskatchewan, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable law.

17 General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may provide notices through the Service or to the email associated with your account.
